Terms of service
Last updated:
1. About these terms
These terms are an agreement between Your Company (Pvt) Ltd (“we”, “us”) and the organization that creates an account for Auditspector (the “Customer”, “you”). The person who accepts them confirms they are authorised to do so for the Customer. If you have signed an order form or a separate agreement with us, that document takes priority where it differs from these terms.
2. Definitions
- Service: the Auditspector web and mobile application, its API and related support.
- Customer Data: everything you or your users put into the Service, such as locations, templates, audit and checklist answers, photos and other evidence, findings, corrective actions, complaints and user details.
- Users: the people you invite or allow to use the Service under your account.
- Plan: the subscription you choose, with the limits and features shown on our pricing page or in your order.
3. Your account and users
- You are responsible for your Users, the roles and access you give them, and keeping sign-in details secure. Tell us promptly if you believe an account has been misused.
- You must give accurate account and billing details and keep them up to date.
- Users must be at least 16 years old.
4. Free trial
New organizations may get a free trial of the length shown when they sign up. At the end of the trial the account needs a paid Plan to continue. If no Plan is chosen, access is limited and then suspended after a grace period; your data is kept as described in section 12.
5. Plans, fees and payment
- Fees depend on your Plan, billing interval and, where the Plan says so, the number of active users and locations. Prices are shown on our pricing page and on your billing page before you confirm.
- Fees are invoiced in advance for each billing period and are due by the date on the invoice. You can pay by bank transfer or, where offered, by card through our payment provider.
- Prices exclude taxes unless stated. You pay any applicable taxes shown on the invoice.
- Upgrades take effect immediately; the unused value of the period you already paid for is credited against the new invoice. Downgrades and changes from yearly to monthly billing take effect at the end of the current period.
- Discount codes apply on the terms shown when they are used and cannot be exchanged for cash.
- If an invoice is unpaid by its due date, the account becomes overdue and we may suspend it after the grace period shown on your billing page. Access is restored once the invoice is paid.
- We may change prices with at least 30 days’ notice. Changes apply from your next billing period after the notice period.
6. Cancellation and refunds
- You can cancel at any time from your billing page. The subscription then ends at the close of the current billing period and is not renewed.
- Fees already paid are not refundable, except where we decide otherwise (for example a billing error), where these terms say so, or where the law requires it. Any refund is confirmed with a credit note.
7. Customer Data
- You own your Customer Data. You give us the right to host, process and display it only as needed to provide, secure and support the Service, and as you instruct us through the Service.
- We do not sell Customer Data, and we do not use it to train AI models.
- Our Privacy Policy explains how we handle personal data. Where data protection law requires it, we will sign a data processing agreement with you on request.
- You are responsible for having the right to put Customer Data into the Service, including personal data about your staff and your own customers (for example names and contact details on complaints), and for telling them as the law requires.
8. Security
We protect the Service and Customer Data with technical and organisational measures appropriate to the risk, including encryption in transit, strict separation between organizations, access controls and an audit log. Our Security page describes them. If we become aware of a breach affecting your Customer Data, we will tell you without undue delay and help you meet your own obligations.
9. Acceptable use
You and your Users must not:
- use the Service unlawfully, or to store content you have no right to use;
- try to access another organization’s data, test or bypass our security without written permission, or interfere with the Service;
- upload malware, or files and content intended to harm others;
- resell or provide the Service to third parties, except to your own staff and contractors as Users;
- copy, reverse-engineer or build a competing product from the Service, except where the law allows it;
- overload the Service, including through the API beyond the published rate limits.
We may suspend access that breaks these rules or puts the Service or others at risk. Where possible we tell you first and give you a chance to fix it.
10. Optional features and third-party services
- Apps and integrations. If you install an app, create API tokens or webhooks, or connect single sign-on, you choose to share Customer Data with that service. The third party’s own terms apply to it, and we are not responsible for it.
- Text messages. SMS notifications are sent through a messaging provider to numbers your Users enter. Delivery is not guaranteed and standard network charges may apply.
- AI-drafted summaries. If your organization turns this feature on, the results of the audit being summarised are sent to our AI provider to draft a summary. A person in your organization must review and approve every summary; it may contain mistakes and is not professional advice. You can turn the feature off at any time.
- Payments by card are processed by our payment provider; we do not store full card details.
11. The Service, support and changes
- We aim to keep the Service available at all times, but it may be interrupted for maintenance (announced in advance where possible) or for reasons outside our control.
- Support is provided by email during business hours, and as described for your Plan.
- We improve the Service continually. We will not make a change that materially reduces the core features of your paid Plan during the period you have paid for.
- Our support staff can see your organization’s records only when you grant time-limited support access from your settings; every such access is recorded.
12. Suspension, termination and your data
- Either party may end the agreement if the other seriously breaches these terms and does not fix it within 30 days of being told.
- When an account ends, access stops. For 90 days afterwards you can ask us to reactivate the account or give you an export of your Customer Data. After that we may permanently delete it; copies in backups are overwritten in the normal backup cycle.
- Records you are required to keep for legal or audit purposes (for example your audit history) should be exported before the account ends.
13. Intellectual property
We own the Service, including its software, design and documentation. You receive a non-exclusive, non-transferable right to use it during your subscription under these terms. If you send us feedback, we may use it to improve the Service without obligation to you.
14. Confidentiality
Each party keeps the other’s non-public information confidential, uses it only for this agreement, and protects it with reasonable care. This does not apply to information that is public, already known, independently developed or that must be disclosed by law.
15. What the Service is, and is not
Auditspector is a tool that supports your own operations, audits and procedures. It does not certify that you comply with any law, regulation or standard, and scores, findings and summaries do not replace your own judgement or professional advice. Except as stated in these terms, the Service is provided “as is”, and we exclude other warranties to the extent the law allows.
16. Liability
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
- Each party’s total liability under this agreement in any 12-month period is limited to the fees the Customer paid us for the Service in that period.
- These limits do not apply to your obligation to pay fees, to breaches of section 9, or to liability that cannot be limited by law (such as fraud, or death or personal injury caused by negligence).
17. Indemnity
You will defend us against claims by third parties arising from Customer Data you had no right to use or from your breach of section 9, and pay resulting costs and damages awarded. We will defend you against claims that the Service, as we provide it, infringes a third party’s intellectual property rights, and pay resulting costs and damages awarded.
18. Changes to these terms
We may update these terms. We will give at least 30 days’ notice of material changes by email or in the Service. If you do not agree, you may cancel before the change takes effect; continuing to use the Service afterwards means you accept the new terms.
19. General
- Neither party is responsible for delays caused by events beyond its reasonable control.
- You may not transfer this agreement without our consent; we may transfer it to a successor to our business, with notice to you.
- If part of these terms is found unenforceable, the rest remains in force. Not enforcing a right is not a waiver of it.
- These terms are governed by the laws of Sri Lanka, and disputes are subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.
